Terms of Service

1. Agreement

These Terms of Service are a binding agreement between you and Cetchup, Inc., a Tennessee corporation ("Cetchup," "we," "us"). They govern your use of the Cetchup website and applications (the "Service").

By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to create an account. The Service is intended for adults managing a household. Children do not have accounts and cannot sign in.

If you add information about a child to your household, you confirm that you are their parent or legal guardian, or that you have permission from one.

3. Accounts and households

You are responsible for your account credentials and for activity that occurs under your account. Provide accurate information and keep it current. Tell us promptly at support@cetchup.io if you suspect unauthorized access.

Households are shared spaces. Anyone you invite as an owner can see and modify that household's tasks, schedules, files, and member information. Invite only people you trust with that access.

4. Subscription, trial, and billing

Your trial converts automatically. Unless you cancel before the 14-day trial ends, your subscription begins and the payment method on file is charged $19.99. It then renews each month on the same date until cancelled.

Prices are in US dollars and exclude any applicable taxes. We may change pricing, and will give at least 30 days' notice by email before a change affects you. Continuing after that notice means accepting the new price.

If a payment fails, we may retry it and may suspend access until payment succeeds.

5. Cancellation and refunds

Cancelling

• Cancel during the trial and you are never charged.
• Cancel a paid subscription and it stays active until the end of the period you already paid for. You are not charged again.
• You can also cancel by emailing support@cetchup.io. We will process it within one business day.

Refunds

• Within 14 days of your first charge, email us and we will refund it in full, no questions asked.
• Charged by mistake — for example after you cancelled, or billed twice — we refund it in full.
• Extended outage that materially prevented you from using the Service — we will refund or credit that period.
• Otherwise, monthly fees already paid are non-refundable, and partial months are not prorated.

Approved refunds go back to the original payment method, typically within 5–10 business days depending on your bank.

If you delete your account

Deleting your account cancels your subscription and removes your data as described in the Privacy Policy. Export anything you want to keep first — deletion cannot be undone.

6. Your content

You own your content. Tasks, schedules, files, notes, and everything else you put into Cetchup remain yours.

You grant us a limited, non-exclusive licence to host, store, process, transmit, and display that content solely to operate and improve the Service for you. This licence ends when you delete the content or your account, except for copies in backups pending deletion.

You are responsible for your content and confirm you have the right to upload it.

7. AI features and accuracy

Cetchup uses AI to extract tasks, dates, and events from emails and documents you connect or upload. Processing is performed using Google Cloud Vertex AI, within our own Google Cloud project.

AI output can be wrong. It may misread dates, miss items, duplicate entries, or misinterpret context. Extracted items are suggestions for your review, not verified facts.

Do not rely on Cetchup alone for anything with real consequences — medical appointments, legal deadlines, court dates, travel, or financial obligations. Verify them independently. We are not liable for anything missed, mis-scheduled, or misread.

8. Connected accounts

You may connect third-party accounts such as Gmail and Google Calendar. Doing so authorizes us to access those services on your behalf for the features described in our Privacy Policy.

Your use of those services remains subject to their own terms. You can disconnect at any time in settings, or revoke access at myaccount.google.com/permissions. We are not responsible for third-party services' availability or behaviour.

9. Acceptable use

Do not:

• Break the law, or infringe anyone's rights
• Upload malware, or attempt to breach, probe, or disrupt the Service
• Access another user's account or household without permission
• Reverse engineer, scrape, or resell the Service
• Use it to harass, abuse, or harm anyone
• Circumvent usage limits, or place unreasonable load on our infrastructure
• Upload content about another person without a lawful basis for doing so

10. Our intellectual property

The Service, including its software, design, and the Cetchup name and logo, belongs to Cetchup, Inc. and is protected by intellectual property law. These terms grant you a limited, revocable, non-transferable right to use the Service — not ownership of any part of it.

If you send us feedback or suggestions, we may use them freely and without obligation to you.

11. Suspension and termination

You may stop using the Service and delete your account at any time.

We may suspend or terminate your access if you materially breach these terms, if your account is used unlawfully, if payment fails and is not resolved, or if we are required to by law. Where reasonable and permitted, we will give notice and an opportunity to fix the problem.

If we terminate your account without cause, we will refund any unused prepaid portion of your subscription.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-extracted information will be accurate or complete.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CETCHUP, INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Cetchup, Inc. and its officers and directors from claims, damages, and reasonable legal fees arising out of your content, your use of the Service, or your violation of these terms or of anyone's rights.

15. Governing law and disputes

These terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws rules.

Any dispute will be brought exclusively in the state or federal courts located in Sumner County, Tennessee, and you consent to their jurisdiction. Before filing, please contact us at support@cetchup.io — most issues can be resolved directly.

Nothing here prevents you from bringing a qualifying claim in small claims court.

16. Changes to these terms

We may update these terms as the Service evolves. We will update the "Last updated" date, and for material changes give at least 30 days' notice by email or in the app. Continuing to use the Service after a change takes effect means you accept the revised terms. If you do not, cancel before then.
